Opacity affects the whole of the layer. Fill, although it appears to do the same thing has one special difference. If used in conjunction with Layer Styles, only the opacity of the existing pixels will be affected, the layer style remains untouched.

I find it easier to understand by looking at the Layer Style dialogue box as they are the same values. The Drop Shadow illustrates the difference.
